Authorized Representative Terms

1. Authority representation

The Representative represents and warrants that they are fully authorized to list, create, update and manage the relevant company on Digibition and, where acting for a legal entity, that they are authorized to bind that entity.

The Representative will not create a profile for any company, brand or person they are not authorized to represent, and is personally and solely responsible for any consequences arising from a false representation.

2. Accuracy of information

The Representative warrants that all information provided (including company name, contact details, products, descriptions, images and documents) is true, current and not misleading, and will keep it up to date.

Digibition is under no obligation to verify the information and is not responsible for its accuracy.

3. Intellectual property and licence

The Representative warrants that they hold all necessary rights and licences to the logos, images, text, trademarks and other content they upload, and that such content does not infringe any third party’s intellectual property, trademark or other rights.

The Representative grants Digibition a worldwide, royalty-free, sublicensable licence to display, reproduce and process this content on and in the promotion of the platform.

4. Content rules

The Representative agrees not to upload misleading, unlawful, defamatory, rights-infringing, counterfeit or fake content.

Profiles that impersonate, or use without permission the name of, another company, brand or person are strictly prohibited.

5. Digibition’s rights

Digibition reserves the right, at its sole discretion and without stating a reason, to review, decline, reject, unpublish, suspend or delete any profile, content or account.

Digibition has no liability to the Representative or any third party arising from the exercise of these rights.

6. Disclaimers and limitation of liability

Digibition is a listing and promotion platform; it is not a party to, and is not responsible for, communications, quotes, contracts or commercial relationships between companies.

The platform is provided "as is" and "as available". To the maximum extent permitted by applicable law, Digibition is not liable for indirect, incidental or consequential damages.

7. Indemnification

The Representative agrees to indemnify and hold harmless Digibition, its officers and employees against any claim, action, damage, cost and legal fees arising from their breach of these terms, their content or information, a false authority representation, or their use of the platform.

8. Personal data (KVKK / GDPR)

The Representative consents to the processing of personal data they enter into the platform (for example contact persons) and warrants that they have the legal basis/consent required to share it.

Personal data is processed in accordance with Digibition’s Privacy Policy and applicable law, including Turkish Law No. 6698 (KVKK).

9. Suspension and termination

Digibition may suspend or terminate a profile or account upon a breach of these terms or where otherwise necessary. The Representative may also request removal of the profile at any time.

10. Changes

Digibition may update these terms from time to time. The current version is published on this page; material changes will be notified reasonably. Continued use of the platform constitutes acceptance of the current terms.

11. Governing law and jurisdiction

These terms are governed by the laws of the Republic of Türkiye. The Istanbul (Çağlayan) Courts and Execution Offices have jurisdiction over any dispute arising from these terms.
